Another Friday means another edition of Drafted & Delivered!
Before we dive into the legal updates, I wanted to let you know that I have made a few changes to the format of the newsletter. Some feedback suggested that the previous layout may have unintentionally resembled the style of others (I did give credit to another newsletter for that), so I have refined it to reflect my own voice more clearly.

Latham and BCLP Advise on Ulta's Acquisition of Space NK

What is going on here?
US beauty giant Ulta Beauty has bought Space NK, a well-known UK high street beauty and fragrance store. The deal was made with Manzanita Capital, a private investment firm that has owned Space NK for over 20 years.
This move allows Ulta to enter the UK market without starting from scratch. Instead of opening their stores and building a customer base from the ground up, they have purchased a business that already has brand recognition, retail locations, and an existing customer base.
Advisers:
Latham & Watkins acted for Ulta Beauty.
Bryan Cave Leighton Paisner (BCLP) advised Manzanita Capital and Space NK.
Structure: Space NK will remain a standalone subsidiary, retaining its existing leadership team.
Valuation: Financial terms remain undisclosed, but sources estimate the deal is worth over £300 million (Sky News)
What does it mean?
For Ulta Beauty:
They now have immediate access to the UK market, which is known for strong demand in luxury beauty.
They will benefit from Space NK’s existing retail presence, particularly its 80+ physical stores and established online business.
It helps them grow their brand internationally, at a time when many US retailers are looking beyond their domestic markets.
For Space NK:
The company will continue operating independently, but now under the Ulta umbrella.
It will gain more resources, funding, and supply chain access, potentially accelerating its growth in the UK and Europe.
For Manzanita Capital:
After 23 years of ownership, this marks a successful exit from one of their long-term investments.
The sale demonstrates their ability to build and sell luxury brands effectively.
Legal Implications
M&A Structuring
Lawyers had to design the transaction to transfer ownership of Space NK without disrupting business operations or customer experience.
Due Diligence:
Legal teams would have carefully reviewed Space NK’s:
Lease agreements (for physical stores)
Employment contract and staff rights
Supplier contracts and liabilities
Customer data and GDPR compliance
Intellectual property (logos, brand names)
Cross-Border Compliance:
Since Ulta is US-based and Space NK is UK-based, lawyers had to ensure the deal complied with:
UK and US Corporate Laws
Data privacy laws (e.g. GDPR)
Employment and tax regulations
Multi-Disciplinary Collaboration:
Different departments within the law firm were involved (corporate, tax, real estate, employment, data, and insurance), making this a great example of full-service law in action.

Legal Lingo
What is a Private Equity Exit?
A private equity (PE) exit is when a private equity firm sells its ownership stake in a company it previously invested in. The goal of private equity is to buy, grow, and eventually sell a company for a profit; this final sale is called the “exit.”
Example:
Mazanita Capital (the PE firm) invested in Space NK years ago. It helped the company grow, expand its brand, and increase its value. Now, Manzanita has “exited” that investment by selling Space NK to Ultra Beauty, likely at a much higher value than they paid.
Why do PE firms Exit?
Return on Investment (ROI): Their primary goal is to generate a profit for their investors. An exit locks in the profits.
End of Investment Cycle: Most PE firms plan to hold a company for 5-10 years. After that, it’s time to sell.
Favourable Market Conditions: If the market is strong or a good buyer shows interest (like Ultra), it’s a good time to sell.
Strategic Buyer Interest: In this case, Ultra saw Space NK as a strategic asset to grow internationally.
